Arlington Park Neighborhood Association By-Laws

(Adopted & Amended November 18, 2003)

ARTICLE 1

Name & Boundaries

The organization is called the Arlington Park Neighborhood Association (APNA), hereafter referred to as the "association". The boundaries of the neighborhood association are the south side of Bahia Vista Street, the north side of Webber Street, the east side of Tamiami Trail (US41), and the west side of Tuttle Avenue, and shall exclude those properties that are not within the city limits. This area is hereafter referred to as the "neighborhood".

ARTICLE 2

Purpose

The purpose of the association is to:

  • Foster the improvement and preservation of the neighborhood and a high quality-of-life for all residents.
  • Educate members about the decisions and decision-making processes of local government.
  • Encourage member involvement in issues that affect the neighborhood.
  • Work with other associations, groups and individuals to improve the city and quality-of-life of all city residents.

ARTICLE 3

Powers of the Association

To further the purposes described above, the association may make and execute contracts and engage in fundraising activities.

ARTICLE 4

General Membership

The general membership of the association consists of all persons who reside, own property or operate a business in the neighborhood.

ARTICLE 5

Meetings of the General Membership

Members meetings will be held on the 3rd Tuesday of each month, except July, August and December. The annual members meeting will be held on the 3rd Tuesday in November. The president, vice president or their appointees will run all members meetings according to Robert's Rules of Order.

ARTICLE 6

Officers/Board of Directors of the Association

At least five (5) and as many as seven (7) officers serve as the board of directors: a president, vice president, secretary, treasurer and up to three (3) additional directors. All directors are elected or re-elected at each annual members meeting. During the year, the president may appoint directors to fill vacant board positions. The appointment must be approved by a majority vote of a quorum of the board.

ARTICLE 7

Meetings of the Board of Directors

Board meetings will be held on an "as-needed" basis. A board meeting must have a quorum of not less than four(4) members of the seven (7) member board. Board decisions or actions will be discussed and voted upon at aregular members meeting. For time sensitive decisions or actions that fall between regularly scheduledmembers meetings, the Board of Directors may make a decision and will report at the next scheduled members meeting. All board meetings will be run according to Robert's Rules of Order, and a majority vote will prevail.

ARTICLE 8

Committees

The board of directors can create committees and appoint committee members. A committee chairperson may be either a director or a general member.

ARTICLE 9

Financial

The association is non-profit and may be incorporated as a non-profit organization, if so desired.

ARTICLE 10

Amending the Bylaws

Amendments to these bylaws must be voted on at the annual members meeting. To be adopted, a majority of the members present must approve an amendment.
